Public offer

This document is a public offer by Victorius LLC (the "Company", incorporated in the Kyrgyz Republic and registered for tax purposes in the Russian Federation, foreign-organization code 75861) addressed to an unlimited group of persons (the "Client"). Unconditional acceptance occurs when the Client submits a request via the forms on the Company's website or otherwise requests the Company's services; the applicable public-offer rules are determined by the law of each party's jurisdiction — for residents of the Russian Federation, Articles 435 and 437(2) of the Civil Code of the Russian Federation apply.

1. Subject of the offer

The Company provides the Client with services for sourcing overseas real estate, legal support of the transaction, and coordination with the seller (developer, owner or overseas agency). The Company is not the seller of the properties presented on the website. The seller of the property is the counterparty to the sale. The purchase agreement (SPA) is signed between the Client and the seller under the law of the property's country.

2. Contract execution

After the sourcing parameters are agreed, the Company sends the Client a paid services agreement. The agreement is signed in person, by post or electronically with a qualified e-signature. Service scope, fees and payment terms are set out in the agreement and its appendices.

3. Payment procedure

The Company's service fees are paid separately by invoice to the Company's bank account specified in the invoice and the contract. The property price itself is paid by the Client directly to the seller using the banking details set out in the sale agreement. The Company does not receive or hold property funds. Any reservation payment required by the seller is also paid directly to the seller.

4. Rights and obligations

The Company undertakes to perform the sourcing and support services in good faith, to provide the Client with accurate information about the property based on the seller's data, and to arrange the legal review and coordination with the seller. The Client undertakes to provide accurate personal information required for the services and to pay for the services in accordance with the contract.

5. Liability

The Company is liable for the quality of the sourcing and support services within the limits of the contract. The Company is not the seller of the property and is not liable for the seller's actions, market or currency fluctuations, or changes in law and decisions of authorities in the property's country.

6. Refunds

Refunds of the Company's service fees are governed by the Returns section and the service agreement. Refunds of the reservation payment and the property price are governed by the Client's contract with the seller.
